Amy E. Sheridan

Amy concentrates her practice in the employee benefits and executive compensation area and is experienced in addressing documentation and compliance issues for welfare plans (including federal health care reform and HIPAA privacy and security requirements), qualified retirement plans and individual retirement accounts. She designs and reviews nonqualified deferred compensation arrangements, including for compliance with Internal Revenue Code Sections 409A and 457A. Amy is also experienced in analyzing ERISA prohibited transaction, fiduciary and reporting issues.

Sullivan Tax Litigator Argues Before SJC

On February 1, Richard Jones appeared before the Massachusetts Supreme Judicial Court on behalf of Oracle USA, Inc. and Microsoft in the case of Oracle USA, Inc. v. Commissioner of Revenue.

The case, which the SJC transferred sua sponte from the Massachusetts Appeals Court, concerns taxpayers’ rights to apportion Massachusetts sales tax with respect to software purchased for use in multiple states. The case raises important issues concerning the Massachusetts Commissioner of Revenue’s authority, including whether it may promulgate substantive tax law and curtail taxpayers’ statutory abatement rights via regulation.

At oral argument Rich explained that the Massachusetts Constitution vests the Legislature with the exclusive authority to impose tax, and contends that the Commissioner has authority only to determine how, and not whether, sales tax from software sales may be apportioned. He further argued that the Commissioner’s regulation did not (and indeed, could not) abridge a taxpayer’s right to seek apportionment through the statutory abatement process.

Pro Bono Client, College Bound Dorchester, Featured in Boston Common Photo Exhibit

College Bound Dorchester’s Boston Uncornered program is the subject of a photo exhibit by John Huet, currently on display on the Boston Common.  It is a large array of photographs of more than two dozen people who were willing to share their personal “Uncornered” stories. Some prominent people are in this display, including Mayor Walsh. The photos and the personal stories accompanying them bring to life CBD’s message of personal and neighborhood transformation. The viewing has been extended through the Labor Day weekend.

College Bound Dorchester

A great example of the work we do with specific communities is our work in Dorchester, Massachusetts. In 1965, Sullivan lawyers helped create College Bound Dorchester, Inc. (formerly known as Federated Dorchester Neighborhood Houses, Inc.) by merging several settlement houses. Since that time, countless lawyers and paralegals have devoted thousands of hours of pro bono time to College Bound Dorchester in a variety of disciplines including tax, litigation, real estate, general corporate, financing, and employment and benefits.

Client Case Study: Quarterbacking a Successful Claims Resolution Process

A major U.S. healthcare client and its subsidiaries needed help with the resolution of a significant number of post-effective date bankruptcy claims and issues.

The bankruptcy group worked with an interdisciplinary team tasked with resolving approximately 3,000 claims throughout the United States totaling over $900 billion. The case involved wide-ranging legal issues including, among others, bankruptcy, tax, insurance and antitrust. The case was before the U.S. Bankruptcy Court in New York.

The claims were favorably resolved in less than one year.
